CLUB BY-LAWS

Bills Musky Club Inc.

By-Laws Revised January 1, 2008

 

Article #1          The name of the corporation is Bill’s Musky Club, Inc.

 

Article #2        The period of existence shall be perpetual.

 

Article #3       The purpose shall be:

 

1. To promote sport fishing of the muskellunge and to keep the world record musky in Wisconsin.

 

                        2. To cooperate with and support selected conservation practices based on                          scientific merit by authorized state agencies in the propagation of musky.

                 

                        3. To support the abatement of water pollution.

 

                        4. To encourage the release of muskies to insure future fishing.

 

5. To educate youth and promote fellowship and sportsmanship among musky fisherman.

 

Article #4        Location of the principal office in Wisconsin is P.O. Box 476,

                        Schofield, WI 54476.

 

Article #5        Name of initial registered agent is Bill’s Musky Club, Inc.

Article #7        The number of elected directors shall be 7.

 

Article #8        Officers of the Club shall be: President, 1st Vice President, 2nd Vice President, Secretary&Treasurer, and Seven Directors. The immediate past president shall remain on the board for one year. Office of Secretary&Treasurer shall be filled yearly by the appointment of the Board of Directors.

 

Offices of the President, 1st Vice President, 2nd Vice President shall be a term of one year and to be elected each year at the Annual meeting. Directors shall be elected for a term of 3 years.

 

Article #9        A Nominating committee shall be appointed by the President, to present a

                        slate of candidates at the Annual meeting.

 

Anyone who has been a member for 1 year shall be eligible for any elective office.

 

Article #10      The duties of the respective officers shall be such as usually pertain to

                        their office and such other duties as may be prescribed by the Board of

Directors.  The Board of Directors may delegate the duties of any officer to any other officer, or to any assistant officer or other person designated by it for that purpose.

 

A quorum must be present for a board meeting consisting of at least Two Officers and Four members of the Board of Directors.

 

In case of vacancy in any Officer or Member of the Board, the Board of Directors is empowered to make an appointment to fill the vacancy for the

remaining term of office.

 

Article #11      The Annual Awards Banquet shall be held the last Saturday in March of each year, depending on hall availability and the occurrence of Holy Saturday. If change is necessary, the banquet will be the Saturday before.  The Annual Meeting will be held 2 weeks before the Annual Banquet.

 

Article #12      The Club shall have printed and mailed to each current member (only one letter to the same address) two newsletters, a spring and fall edition, announcing the dates and location of the banquet, outings, rules, and other information.

 

Article #13      The Treasurer shall, at the annual meeting of the Club, report to the membership in the financial condition of the Club. The Treasurer shall receive all funds for the Club and deposit them in a bank of his/her choosing, with approval of the Board of Directors. The account shall be carried in the name of Bill’s Musky Club, Inc. The Treasurer, President, or appointed Board Member shall deposit funds into this account. The Treasurer or President may be able to withdraw funds. The accounts of the Treasurer will be audited annually or at any other time by order of the Board of Directors.

 

Article #14      Membership:  Anyone may be eligible for membership by applying and paying current annual dues. The Board of Directors will set dues.

                        Individual adult membership

                        Husband and wife combination

                        Junior member-16 years or younger

                        Lifetime membership

 

                        In case of separation or divorce, the spousal lifetime membership is non-transferable but remains with the original purchasers.

 

                        All members shall comply with and abide by all the fishing laws of each and every state in which the member may be fishing.  Any member who does not comply, and any member, director, or officer whose conduct is contrary to the purposes and objectives of this Club may be dismissed, and his or her membership terminated by action of the Board of Directors.

 

                        Membership information is the sole property of Bill’s Musky Club. This information shall not be given out or used for any other purpose than the business of the club.

 

Article #15      One of the objectives of the formation of Bill’s Musky Club is to retain the World Record Musky in Wisconsin, only fish caught in Wisconsin will be eligible for Club awards.  An award will be given for the largest kept and released fish caught outside of Wisconsin during the year.

 

Article #16      All funds and assets of the Club shall be used only for the purpose of the Club and for actual administrative expenses in conducting the affairs of the Club under the direction, and with the approval of the Board of Directors.

 

                        The members of the Club shall not be personally liable for Club obligations. The Club shall have no capital stock.

 

                        All property of the Club is irrevocably dedicated to the purpose of social welfare, and upon liquidation, dissolution, or abandonment of the Club, its property shall, in the manner provided by law, insure to the benefit of, and be transferred to, a fund, foundation, or corporation organized and operated exclusively for the charitable purposes and which is exempt from income tax under the federal internal code and under the tax laws of the State of Wisconsin.

 

Article #17      These by-laws may be amended by the majority of the Board of Directors or by the general membership at any regular or special meeting of such.
